Bylaws of the Research and Education Division

ARTICLE I
Name

The Division shall be known as the Research and Education Division of the American Road and Transportation Builders Association.


ARTICLE II
Definitions

Unless otherwise stated, the following words and abbreviations, wherever used herein, shall have the following meaning.

1. ARTBA shall mean the American Road and Transportation Builders Association.
2. Division shall mean the Research and Education Division of ARTBA.
3. President shall mean the President of the Division.
4. Member shall mean a member in good standing of the Division.


ARTICLE III
Headquarters

Headquarters of the Division shall be that of ARTBA, wherever located.


ARTICLE IV
Purpose and Objectives

To provide a forum for strengthening the relationship among institutions of higher education, transportation industry, and public sector agencies for the purpose of promoting sustainable transportation systems that enhance the economy and contribute to societal goals; to promote and foster public and private sector support for, and involvement in, transportation research, education, and training; to and assist the association in the development of its research, education and training programs.


ARTICLE V
Membership

Membership in the Research and Education Division shall be open to institutions engaged in transportation construction education or research and to individuals who are teachers of highway or transportation engineering, business and construction management, or related subjects; or who are administrators, supervisors, teachers, directors or senior staff of transportation research programs or extension services; or whose major duties are the training of personnel for transportation-related work; and students studying transportation-related subjects.


ARTICLE VI
Dues

The annual dues for membership in the Research and Education Division shall be established by the ARTBA Board of Directors.


ARTICLE VII
Administration

1. The officers and directors of the Division shall be members of ARTBA who are active in transportation research, education, and/or training.
2. The Division shall be governed by an Executive Committee comprised of the Division president, vice president, and immediate past president, and by a Board of Directors consisting of six directors.
3. The president and the vice president are elected for one (1) year terms in those capacities. Directors shall be elected for three-year terms, with two directors being elected each year. Officers and directors shall serve until their successors have been duly elected and installed.
4. The president shall be the presiding officer at all meetings of the Division. In the president's absence, the vice president shall preside. In the absence of both the president and vice president, the immediate past president shall preside. In the absence of any member of the Executive Committee, the members at the meeting can select an individual to preside over the meeting.
5. ARTBA shall appoint a staff liaison who reports to the ARTBA President and CEO for the division who shall keep the records and complete reports of the proceedings of the Division. The staff liaison shall act as administrative officer, prepare all necessary correspondence, make reports on Division activities and have general charge of Division services.


ARTICLE VIII
Election of Officers

1. The president, vice president and directors shall be elected by letter ballot mailed to Division members no later than thirty (30) days prior to the opening date of the Association's annual meeting.
2. Each active Division member may cast one vote.
3. A nominating committee comprised of at least three (3) individuals shall be appointed by the Division president. On or before the first day of the second month preceding the annual meeting, the Nominating Committee shall report to the president and ARTBA staff liaison at least one (1) candidate for both the office of president and vice president. The nominees selected should represent a cross section of the Division membership. Before reporting the official nominations, the Nominating Committee shall have secured the consent of the nominees as candidates for the offices.
4. The candidates having the largest number of legal votes for the respective offices shall be declared elected.
5. The president may fill Division officer and director vacancies that occur during his/her year of office.
6. The officers and directors of the Division elected at the annual meeting of the association shall take office and be formally installed during the said meeting.


ARTICLE IX
Meetings and Quorum

For purposes of conducting Division business, the Division shall meet at least two (2) times per year. These meetings will occur at the Association annual meeting and during the Annual Meeting of the Transportation Research Board. The members present at either of these meetings will be considered as a quorum for purposes of conducting business.


ARTICLE X
Awards and Recognitions

To recognize the importance of transportation education and research, the Division may choose to recognize individuals in a manner deemed appropriate. The Executive Committee in conjunction with the ARTBA staff liaison will formulate procedures needed to carry out these activities.


ARTICLE XI
Committees

The president shall appoint the membership of such committees as are needed to carry on the work of the Division.


ARTICLE XII
Amendments

The members present at an official meeting of the Division, by a two-thirds vote, may amend the bylaws consistent with the ARTBA Constitution and Bylaws, provided that written notice of such proposed amendment shall have been transmitted to the Division membership at least 30 days prior to the meeting.
